Partner Terms
These terms apply to everyone in the TradersGrowth Partner Programme — affiliates who refer traders, and businesses and brands we partner with commercially.

1. About these terms
These Partner Terms govern participation in the TradersGrowth Partner Programme. They apply to affiliates — individuals or businesses that refer traders using a tracked referral link or code — and to strategic partners, meaning businesses and brands working with us on individually reviewed commercial arrangements.
“TradersGrowth”, “we”, “us” and “our” mean TradersGrowth. “You” means the person or business applying to or participating in the Partner Programme. By applying to the Partner Programme, you accept these terms. Where we agree a separate Commercial Schedule, Supplier Agreement or Product Schedule with you, that document forms part of the commercial relationship and prevails over these Partner Terms to the extent of any conflict.
How these terms apply
- Standard Affiliate participation is governed by these Partner Terms together with the Commission Schedule shown in the Affiliate Hub.
- Strategic Partner participation is governed by these Partner Terms together with any Commercial Schedule or other written commercial terms agreed with you.
- A listing in Compare, the Marketplace or another TradersGrowth directory is governed by these Partner Terms together with any provider-specific commercial conditions we agree with you.
- An integrated service provider or supplier relationship is governed by a separate Supplier Agreement or Product Schedule. Where that agreement conflicts with these Partner Terms, the Supplier Agreement or Product Schedule prevails, including on liability, support, service continuity and termination.
TradersGrowth is not a broker or financial institution. We do not provide financial advice, hold client funds or execute trades. The Partner Programme is a commercial arrangement. Affiliate earnings depend on the Commissionable Activity generated by Referred Traders, and Strategic Partner earnings and other benefits depend on the written commercial terms agreed with that Partner. We do not guarantee any level of traffic, referrals, conversions, commission, revenue or business results.
2. Definitions
- Referral link — the unique tracked link issued to you on approval.
- Referral code — the code a trader can enter at sign-up if they arrive without your link.
- Affiliate ID — your permanent Partner identifier. It does not change when a Referral slug changes.
- Referral slug — the readable name in your link. You can change it; older slugs keep working and continue to point to you unless we state otherwise.
- Referred Trader — someone who reaches TradersGrowth through your Referral link or code and becomes an Activated Client, subject to the attribution rules in section 5.
- Activated Client — a Referred Trader who has created a valid TradersGrowth account and verified their email address. Creating an account without verifying the email address does not make someone an Activated Client and does not count towards your Commission Tier. One Activated Client counts as one referral; purchases, subscriptions, broker accounts and transactions do not increase the count.
- TradersGrowth Purchase — a completed, paid purchase by a Referred Trader of a TradersGrowth-owned product or service, subject to the validation, refund, chargeback, self-referral and fraud rules in these Terms.
- Partner Revenue — commission, rebate, CPA, revenue share, fee or other commercial revenue TradersGrowth actually receives from a third-party provider, such as a broker, prop firm, tool provider or service provider, in connection with a Referred Trader.
- Commissionable Activity — a TradersGrowth Purchase or Partner Revenue attributable to a Referred Trader. Standard Affiliate commission is calculated from Commissionable Activity on the basis of Net Attributable Revenue and in accordance with the applicable Commission Schedule.
- Net Attributable Revenue — money actually received by TradersGrowth and attributable to a Referred Trader, after applicable refunds, chargebacks, taxes, payment-processing costs, provider deductions or reversals and similar transaction adjustments. Standard Affiliate commission is calculated on Net Attributable Revenue.
- Commission Tier — the commission rate band that applies to you, determined by the number of Activated Clients validly attributed to you. A Commission Tier is a rate band only. It is not a level of referral and does not create any entitlement to commission on another Partner’s referrals.
- Affiliate Commission Structure — the standard commission document made available to Affiliates in the TradersGrowth dashboard. It sets out the Commission Tiers and their thresholds, the applicable percentages, product-specific commission rules and payment mechanics for Standard Affiliates.
- Commission Schedule — the private schedule made available to an Affiliate in the Affiliate Hub or another Partner reporting area. It sets the applicable commission rate or rates, calculation basis, duration and any provider-specific calculation mechanics.
- Commercial Schedule — written commercial terms agreed with a Strategic Partner. A Commercial Schedule may enhance or replace specified commercial terms that would otherwise apply under the standard Commission Schedule.
- Affiliate Hub — the Partner area inside the TradersGrowth dashboard where, as applicable, your Referral link, referrals, commission, payouts and Commission Schedule are shown. Strategic Partner reporting may be provided through the Affiliate Hub or another reporting area as made available or agreed.
3. Eligibility
To join the Partner Programme you must:
- be at least 18 years old and able to enter into a binding agreement;
- hold a TradersGrowth account, which is free to create;
- give accurate details in your application and keep them up to date; and
- not be a person, or act for a business, that is subject to sanctions or other restrictive measures that apply to us.
Once a Standard Affiliate application is approved, Partner access is added to the existing TradersGrowth account and the Affiliate Hub becomes available. Approval does not create a second login.
A Strategic Partner application is reviewed individually. We may approve the applicant on the standard Affiliate terms, offer enhanced or tailored terms in a Commercial Schedule, request further information, or decline the application. Strategic Partner status does not by itself guarantee enhanced rates, exclusivity, additional reporting or any other special commercial term.
Additional Strategic Partner reporting, analytics, account-management features or business dashboards may be provided from time to time or where agreed. Nothing in these Terms guarantees that a particular reporting feature will be available at all times.
We do not work with partners in countries or territories subject to sanctions or trade restrictions that apply to us, and we do not accept promotion of TradersGrowth from those countries or territories. Where this comes to light after approval, we may suspend the Partner account and withhold payment for as long as the restriction applies.
We review every application. We may accept or decline an application and do not have to give a reason.
4. Your partner account
- One Partner account per person or business unless we approve otherwise. Duplicate accounts may be closed and duplicate or improperly generated commission may be cancelled.
- You are responsible for everything that happens under your account and for keeping your login secure.
- An individual Partner account, Affiliate ID and Referral link are personal to that Partner and cannot be sold, transferred, assigned or shared with another person.
- A business Partner may not transfer or assign its Partner account, Affiliate ID, Commercial Schedule or related rights to another legal entity, including as part of a sale, reorganisation or change of control, without our prior written consent. We may approve an administrative transfer where the commercial relationship and compliance position remain acceptable.
5. Referral tracking and attribution
- Referrals are normally tracked when someone arrives through your Referral link and a first-party cookie, referral identifier or similar tracking record is set.
- Unless a Commercial Schedule expressly states otherwise, we use first-touch attribution: if a visitor has already been attributed to another Partner, that attribution stands.
- Unless a Commercial Schedule expressly states otherwise, the standard attribution window is 90 days from the qualifying click. If the visitor becomes an Activated Client within that window, the referral is credited to you. An account created but not verified, and an activation occurring after the window expires, are not automatically credited.
- The attribution window determines whether a new Activated Client is credited to you. It is not the duration for which commission may be paid after that trader becomes a Referred Trader.
- Once a trader becomes an Activated Client and is validly attributed to you, the attribution remains associated with that Partner for the commission duration stated in the applicable Commission Schedule or Commercial Schedule, subject to fraud, duplicate attribution, correction and termination rules in these Terms.
Tracking depends on the visitor’s browser, device and settings, so cookies or identifiers can be refused, blocked or lost when someone switches device. Where that happens, the trader can enter your Referral code when creating an account. If the trader has already created an account, either of you may contact support and, where we can reasonably verify the referral, we may credit it manually.
For selected Strategic Partners, a Commercial Schedule may specify different attribution windows, campaign identifiers, routing rules or other tracking mechanics. Those written terms apply only to that Partner and do not change the standard rules for other Partners.
Our records of clicks, referral identifiers, registrations, manual credits and attribution are the records we work from, and our decision on attribution is final except where a Commercial Schedule expressly provides otherwise.
6. Commission
Referral commission is earned from Commissionable Activity generated by Referred Traders.
For Standard Affiliates:
- every paid TradersGrowth Purchase made by a Referred Trader is commissionable, subject to the validation and adjustment rules in these Terms;
- Partner Revenue actually received by TradersGrowth and attributable to a Referred Trader is also commissionable;
- the applicable rate or rates, calculation basis and commission duration are set out in the Commission Schedule in your Affiliate Hub; and
- different revenue categories may use different rates or calculation bases, but the Commission Schedule does not remove the core principle that the Partner shares in Commissionable Activity generated by their validly attributed Referred Traders.
In summary:
- Commission on TradersGrowth Purchases is calculated on Net Attributable Revenue: the net amount we receive, excluding tax, refunds and payment-processing fees.
- Commission on Partner Revenue is calculated on Net Attributable Revenue: the amount we actually receive from the provider and can reasonably attribute to the Referred Trader, after provider deductions, refunds, clawbacks or other adjustments made before the commission becomes payable.
- Where a TradersGrowth product, subscription or provider arrangement generates revenue on a recurring basis, commission continues on each eligible recurring payment for as long as TradersGrowth continues to receive that Net Attributable Revenue, subject to any product-specific rule in the Affiliate Commission Structure. Where the revenue is received once, commission is generated once.
- Where a provider reports revenue only in aggregate, late or through a reporting method that does not allow reliable trader-level attribution, commission is recognised only once TradersGrowth can reasonably verify and attribute the relevant Partner Revenue.
- Unless separately agreed in writing, your entitlement to Partner Revenue is against TradersGrowth under this Partner Programme. It does not create a direct commission entitlement, sub-IB status or contractual relationship between you and the third-party provider.
- Our agreements with providers may change over time. If a provider changes its rates, payment terms, reporting, customer eligibility or ends its agreement with us, the underlying Partner Revenue may change from the effective date of that provider change. Commission already validly earned is not reduced.
- Commission is calculated and reported in EUR. Amounts received in other currencies are converted using the exchange rate on the date the revenue is recorded and are not recalculated later.
- Commission is single level. You earn from the Activated Clients attributed to you, and not from referrals made by them or by any other Partner. If an Activated Client of yours later becomes a Partner and refers clients of their own, those clients are attributed to them and not to you: you continue to earn from your own Activated Client, but not from the clients they go on to refer. There is no sub-affiliate, multi-level or downline commission.
- You cannot earn commission on purchases or activity generated by you, an account you control, or artificial/self-referral activity designed primarily to generate commission.
- You may not offer cashback, rebates or other incentives funded from your commission without our written approval.
Commission Tiers
Standard Affiliate commission is tiered. Your Commission Tier is determined by the number of Activated Clients validly attributed to you: the more Activated Clients you have, the higher the commission percentage that applies. The tiers, their thresholds and the applicable percentages are set out in the Affiliate Commission Structure and in the Commission Schedule in your Affiliate Hub, and are not published on our public pages.
- Tier thresholds are measured in Activated Clients. Purchases, subscriptions, broker accounts and transactions do not increase your Activated Client count.
- When you reach a higher tier, the higher percentage applies to eligible Net Attributable Revenue arising after that point from all Activated Clients already attributed to you, not only from new ones.
- Commission that has already been validly earned is not recalculated when your tier changes.
- A tier upgrade increases your commission percentage, so it takes effect when the threshold is reached. The notice period in section 13 applies to changes that reduce a Partner’s commission rights, not to an upgrade.
- A Commission Tier is a rate band and nothing more. It does not create a second level of referral and does not entitle you to commission on another Partner’s Activated Clients.
- Specific products and provider categories may apply their own commission rule in place of your tier percentage, as set out in the Affiliate Commission Structure.
The Affiliate Commission Structure forms part of the Commission Schedule for Standard Affiliates. Where it conflicts with these Partner Terms, these Partner Terms prevail.
Strategic Partner commercial terms
Strategic Partners use the same core referral and attribution engine unless a Commercial Schedule states otherwise.
A Strategic Partner may receive standard Affiliate economics, enhanced commission rates, revenue share, fixed fees, campaign fees or another agreed commercial structure. Enhanced terms are not automatic. We may consider demonstrated prior performance, the size and quality of an audience or community, an existing client base, historical conversion evidence, distribution capability, strategic fit, regulatory position, geography and expected commercial value.
Where a Strategic Partner cannot demonstrate enhanced commercial value at the outset, we may begin the relationship on standard Affiliate terms and review the terms later based on actual referred clients, revenue or other agreed performance.
If a Commercial Schedule is in place, it overrides only the commercial terms it expressly changes. The remaining referral, validation, promotion, confidentiality, data and general Partner Programme rules continue to apply.
Commission validation, cancellation and finality are dealt with in section 8. We may change the standard Commission Schedule prospectively in accordance with section 13. Changes never reduce commission that has already been validly earned.
7. Payment
Unless a Commercial Schedule expressly provides different payout terms, the following standard rules apply:
- Commission becomes payable once it has passed the applicable validation period described in section 8.
- Payable commission is included in the next payout run. Standard payouts run on the 10th of each month.
- There is a minimum payout of €100. Balances below that roll over to the next cycle.
- Payouts are made by bank transfer. We may add further payout options over time and will announce them in the Affiliate Hub or relevant Partner reporting area when they are available.
- You are responsible for the payment details you give us. If a payout is sent to details you gave us incorrectly, we cannot guarantee that it can be recalled; recovery would depend on the relevant bank or payment provider.
- You are responsible for your own taxes, registrations and reporting in the country where you live or operate. If you need an invoice or payment documentation for your records, contact us at support@tradersgrowth.com and we will arrange it with you directly.
- We may ask for identity, business, banking or tax information before paying you and may hold a payout until we receive information reasonably required for payment or compliance.
Your Partner account and Affiliate ID remain active for as long as the Programme runs and your account remains in good standing. If there is no Partner activity for 24 months, we may pause your Referral link and stop new attribution after giving you 30 days’ notice by email. You can ask us to reactivate it. Commission already earned remains payable, and you may ask us to pay a balance below the €100 minimum when you close your Partner account.
8. Commission validation, adjustments and finality
Referral commissions remain pending during the applicable 30-day validation period unless a Commercial Schedule expressly provides a different validation period. They are not considered earned or payable until that period has ended.
Before a commission becomes payable, we may cancel or adjust it where:
- the underlying TradersGrowth Purchase has been refunded, cancelled or charged back;
- the underlying Partner Revenue has been reversed, clawed back, rejected or corrected by the provider before the commission becomes payable;
- the transaction or attributed activity was fraudulent or invalid;
- the referral was generated in breach of these Partner Terms; or
- the commission was calculated or recorded incorrectly.
Once a commission has passed the validation period, has been approved and has been paid to you, the payment is final and will not normally be reversed or reclaimed from you because of a later customer refund, chargeback, cancellation, provider adjustment or other post-payment event.
We may correct a paid commission only in cases of Partner fraud, deliberate abuse, duplicate payment, or a clear administrative or payment error. Where possible, any such correction will be deducted from future commissions rather than requiring you to make a separate repayment.
Partners will not be required to maintain a negative balance or repay commissions arising from ordinary customer refunds, chargebacks, cancellations or provider adjustments occurring after the commission has been approved and paid.
For a TradersGrowth Purchase, commission normally becomes eligible for payment 30 days after the underlying customer payment has been successfully received, provided the transaction has not been refunded, cancelled, charged back or identified as invalid during that period.
For Partner Revenue, commission normally becomes eligible for payment 30 days after TradersGrowth has received and can reasonably verify and attribute the relevant Partner Revenue, provided it has not been reversed, clawed back or identified as invalid during that period.
Eligible commissions are included in the next scheduled monthly payout on the 10th of the month, subject to the minimum payout in section 7 and any different written payout terms in an applicable Commercial Schedule.
Example: a qualifying TradersGrowth Purchase made on 1 September becomes eligible on 1 October and may be included in the 10 October payout. A purchase made on 20 September becomes eligible on 20 October and would normally be included in the 10 November payout.
9. How you may promote TradersGrowth
You are free to promote TradersGrowth through your own website, social media, community, email audience and other legitimate marketing channels, provided your promotion is accurate, transparent and compliant with applicable law.
When promoting TradersGrowth, you must:
- Be transparent about the relationship. Where required, clearly disclose that you may receive a commission or other benefit when someone uses your referral link.
- Be accurate. Do not materially misrepresent TradersGrowth products, features, pricing, availability, results or terms.
- Avoid misleading trading claims. Do not promise or imply guaranteed profits, guaranteed returns, guaranteed funding, risk-free trading or any other outcome that cannot reasonably be guaranteed.
- Follow applicable advertising rules. You are responsible for complying with advertising and consumer-protection rules that apply to the promotion you publish and the audience you target.
- Follow additional rules for financial products. If your promotion includes a broker, investment service or another regulated financial product, you must comply with any financial-promotion requirements applicable to that product, jurisdiction and audience.
- Promote under your own identity or brand. You may describe yourself as a TradersGrowth Partner or Affiliate, but you must not suggest that you are TradersGrowth itself or that you are authorised to speak on our behalf.
You must not:
- make false, exaggerated or misleading statements about earnings, trading performance, investment returns or likely outcomes;
- provide financial or investment advice on behalf of TradersGrowth;
- impersonate TradersGrowth or create a website, social profile, application or advertisement that could reasonably be mistaken for an official TradersGrowth property;
- use the TradersGrowth name in a domain name, application name or social-media account name without our written permission;
- bid on our protected brand terms in paid search unless we have approved it;
- advertise discounts, bonuses, promotions or commercial terms that have not been approved or published by us;
- use spam, deceptive advertising, fake traffic, automated traffic, misleading redirects or other abusive acquisition methods;
- knowingly target persons under 18;
- knowingly promote an offer in a jurisdiction where that specific promotion is prohibited; or
- offer cashback, prizes, giveaways or other incentives specifically for using your referral link unless we have approved the incentive.
Paid advertising
You do not need approval for ordinary organic promotion.
If you plan to run paid advertising using the TradersGrowth brand, our trademarks, our marketing materials or claims relating to a regulated financial product, you must obtain our approval before the campaign goes live.
We will aim to review reasonable approval requests promptly. Approval of one campaign does not automatically approve materially different advertisements or claims.
Breaches
If we reasonably believe that promotional activity breaches these Partner Terms, we may ask you to amend or remove the relevant content and may temporarily suspend the affected campaign or referral link while the issue is reviewed.
For serious, repeated, fraudulent or deliberate breaches, we may suspend or terminate your Partner Account.
Any commission adjustment will be handled in accordance with section 8. A breach of this section does not by itself create an obligation to repay commissions that have already been validly approved and paid.
10. Brand and content
Our brand
While you are an active Partner, we give you a limited, non-exclusive, non-transferable and revocable right to use the TradersGrowth name, trademarks and marketing materials solely for the purpose of promoting TradersGrowth under this Partner Programme.
Ownership of the TradersGrowth brand, platform, content and intellectual property remains with us.
You must:
- use our logos and official brand assets substantially as provided;
- not materially alter our trademarks or create modified versions that could damage or misrepresent the brand;
- not register or claim ownership of TradersGrowth trademarks, names, domains, social-media handles or substantially similar branding; and
- stop using our brand materials when your participation in the Partner Programme ends, except where reasonably necessary to maintain historic content or records.
Your content
Content you independently create remains yours.
If you publicly create content promoting TradersGrowth, you give us a non-exclusive, royalty-free licence to repost or share that specific promotional content through TradersGrowth-owned channels for the purpose of promoting TradersGrowth or the Partner Programme.
Where reasonably practical, we will credit you when resharing your content.
11. Data, privacy and confidentiality
TradersGrowth protects user personal data in accordance with applicable data protection laws, including the GDPR where applicable, and our Privacy Policy.
Partners do not receive access to a Referred Trader’s private account information, including their email address, journal entries, trades, strategies, uploaded documents, private messages or other private platform content.
Where relevant to attribution, commercial reporting and commission, Partners may see limited information such as:
- a Trader ID or other non-identifying reference;
- referral, registration and conversion status;
- commercial or qualifying activity relevant to commission;
- commission generated, pending, approved and paid; and
- other limited commercial status information reasonably necessary to operate the Partner Programme.
Where available, TradersGrowth may also provide aggregated or non-identifying commercial performance information, including activation, product adoption, engagement or retention metrics. The availability, granularity and scope of that reporting may differ by Partner type, technical capability and Commercial Schedule. Nothing in these Terms guarantees that any specific analytics, engagement or retention feature will be available.
Partners must not attempt to identify individual users from non-identifying or aggregated information or combine it with other data for that purpose.
Each party is responsible for complying with the data-protection and marketing laws that apply to personal data it independently collects and processes. Partners are responsible for having an appropriate lawful basis for marketing communications sent to their own audiences.
Any non-public commercial information shared through the Partner Programme — including commission rates, Commercial Schedules, provider terms, revenue-share arrangements, plans, technical information, analytics and unpublished offers — must be treated as confidential unless we state otherwise.
12. Strategic partnerships
For brokers, prop firms, technology providers, educators, mentors, community owners, service providers and other commercial Partners, TradersGrowth may agree individually reviewed Strategic Partner terms.
Strategic Partner status does not automatically entitle a Partner to better rates or special rights. Enhanced terms may be offered where they are commercially justified by factors such as demonstrated prior performance, audience or community size and quality, an existing client base, historical conversions, distribution capability, strategic fit, regulatory position, geography or expected commercial value. A Partner without sufficient evidence may begin on the standard Affiliate terms and may later qualify for enhanced terms based on actual performance.
A Strategic Partner arrangement may include, where expressly agreed in writing:
- enhanced referral commission or revenue share;
- fixed or campaign fees;
- exclusive or partner-specific offers;
- distribution or co-marketing arrangements;
- integrations or product/service collaboration;
- Compare, Marketplace, Resources or campaign visibility;
- client-routing, originating-provider or client-protection arrangements; or
- other commercial terms appropriate to the relationship.
Specific rates, revenue shares, fees, exclusivity, protection, routing rights and other bespoke commercial terms are confidential and are confirmed in a Commercial Schedule or other written agreement.
Broker and provider relationships
Where a broker or other provider refers traders to TradersGrowth, those traders may still purchase and use TradersGrowth products and services, and the referring Partner may earn the commission or revenue share applicable under its Commission Schedule or Commercial Schedule.
Where a Commercial Schedule expressly grants an originating broker or provider client-protection, routing or exclusivity rights for certain broker-dependent services, TradersGrowth will apply those rights as stated in that Schedule. No such protection, exclusivity or routing right is implied merely because a Partner referred a trader.
Any agreed client-protection or routing arrangement may be subject to practical and regulatory limitations, including jurisdiction, customer eligibility, product availability, licensing, compliance requirements and technical availability. Unless the Commercial Schedule states otherwise, TradersGrowth may offer an alternative provider where the originating provider cannot lawfully or practically serve the Referred Trader.
Listings, placements and regulated Partners
- Submitting an application, registering interest or discussing a potential collaboration does not create a Strategic Partnership or guarantee acceptance.
- TradersGrowth selects Strategic Partners at its discretion.
- Inclusion in Compare, Marketplace, Resources, campaigns or other platform areas is subject to review and does not guarantee permanent placement, ranking, traffic or customer volume.
- Commercial relationships do not automatically determine ranking or editorial position.
- We may add, remove, reposition or update listings where reasonably necessary to maintain the quality, accuracy and integrity of the platform.
- Sponsored or paid placements are always clearly labelled.
- Regulated firms remain responsible for maintaining the licences, permissions, disclosures and risk warnings required for their services and jurisdictions.
- Partners are responsible for ensuring that information supplied to TradersGrowth about their products, services, pricing, eligibility and regulatory status is accurate and up to date.
- We may request reasonable evidence of regulatory status, licensing, product terms, audience claims, historical performance or other information before or during a Strategic Partnership.
13. Changes to the programme
We may update the Partner Programme from time to time, including its features, providers, tracking methods, attribution rules, reporting tools, standard Commission Schedules and available commercial arrangements.
Changes apply prospectively and do not reduce commission that has already been validly earned.
Programme-wide changes
Where we make a change to these Partner Terms or the standard Commission Schedule that materially reduces an existing Partner’s general commission rights or introduces a material new obligation, we will normally provide at least 30 days’ notice by email, through the Affiliate Hub or another reasonable communication channel.
A Commercial Schedule may contain its own change or notice provisions. Where it does, those provisions govern the bespoke commercial terms in that Schedule. TradersGrowth will not use a general Programme update to override a fixed Strategic Partner rate, exclusivity right, protection right or other bespoke commitment that is expressly agreed in writing, except where the relevant agreement itself permits the change or where required by law.
Provider and revenue changes
Individual providers, products, offers, availability, customer eligibility, reporting methods and provider commercial terms may change from time to time.
Because Partner Revenue is based on revenue TradersGrowth actually receives from the relevant provider, a provider’s change to its own rates, rebates, CPA, revenue share, deductions, reporting or payment terms may change the underlying Partner Revenue available for commission from the date that provider change takes effect.
The Partner’s applicable percentage or calculation method remains the one shown in the Commission Schedule or Commercial Schedule unless that schedule is itself changed in accordance with these Terms or the applicable written agreement.
Provider-specific operational changes may be reflected in the Affiliate Hub, Marketplace, Compare pages or relevant Partner information without individual email notification where they do not change the Partner’s agreed commission rate or other bespoke contractual right.
Partners are responsible for checking current provider and offer information before actively promoting a provider or offer.
Where a provider-specific change affects commission that has already been validly earned, the terms in effect when that commission was earned continue to apply unless otherwise required by law or agreed in writing.
Immediate changes
We may make changes without advance notice where reasonably necessary because of:
- legal or regulatory requirements;
- fraud, abuse or security concerns;
- suspension or withdrawal of a provider or product;
- incorrect information supplied by a provider;
- a provider ceasing to accept customers;
- urgent protection of TradersGrowth users or reputation; or
- circumstances outside our reasonable control.
Where such a change materially affects Partners, we will provide notice as soon as reasonably practical.
Continued participation in the Partner Programme after a notified change takes effect constitutes acceptance of the updated general Programme terms. This does not by itself amend a bespoke Commercial Schedule where that Schedule requires a separate written agreement to change.
14. Suspension and termination
Termination rights depend on the type of relationship with TradersGrowth.
14.1 Affiliate Partners
An Affiliate Partner may stop participating in the Partner Programme at any time by notifying us or ceasing promotion. Any commission already validly earned remains payable in accordance with the normal validation and payment schedule.
TradersGrowth may suspend or terminate an Affiliate Partner account where:
- these Terms have been materially breached;
- fraudulent, abusive or misleading activity has occurred;
- the Partner’s activity creates material legal, regulatory or reputational risk;
- we are required to do so by law; or
- continued participation would reasonably expose TradersGrowth, its users or Partners to harm.
Where practical, we will provide notice and an opportunity to correct a breach before termination. Serious fraud, deliberate misconduct, illegal activity or significant reputational harm may result in immediate suspension or termination.
Termination does not create a right to reclaim commissions that were previously validly earned and paid, except in the limited circumstances described in section 8.
14.2 Listings and Marketplace providers
Unless otherwise agreed in writing, inclusion of a business, broker, prop firm, service or product in Compare, Marketplace or another TradersGrowth directory does not create a guaranteed right to continued listing. A provider may ask us to remove or update its listing at any time.
TradersGrowth may add, update, reposition, suspend or remove a listing where reasonably necessary, including where:
- information is inaccurate or outdated;
- a product or service is no longer available;
- regulatory circumstances change;
- the provider requests removal;
- user protection requires it; or
- continued listing could reasonably damage the quality, credibility or reputation of TradersGrowth.
Removal of a listing does not affect accrued commercial obligations relating to activity generated before removal.
14.3 Integrated and contracted service providers
Where TradersGrowth integrates a third-party service into its platform, or a provider supplies an ongoing service to TradersGrowth users, the relationship should normally be governed by a separate Supplier Agreement, Product Schedule or other written commercial agreement.
That separate agreement governs matters such as service levels, support, customer continuity, transition obligations, revenue share, fees, intellectual property, client protection, notice periods and termination. These public Partner Terms do not by themselves create a continuing service, support, exclusivity or customer-protection obligation for an integrated provider unless that obligation is separately agreed in writing.
Where no separate written termination provision applies, either party may end the ongoing supplier relationship on reasonable written notice, subject to accrued payment obligations and any steps reasonably necessary to protect existing users and complete an orderly transition.
TradersGrowth may suspend or terminate an integrated or supplier relationship immediately where reasonably necessary because of fraud, serious misconduct, material legal or regulatory breach, loss of required authorisation, material security or data-protection risk, serious or repeated service failure, or a material risk of harm to TradersGrowth users.
Termination does not remove accrued payment obligations, confidentiality obligations or any transition, customer-continuity, client-protection or support obligations that are expressly stated to survive in a separate written agreement.
15. Relationship between us
Participation in the Partner Programme creates an independent commercial relationship between you and TradersGrowth.
Nothing in these Terms creates an employment relationship, agency, franchise, partnership, joint venture or fiduciary relationship between us.
You:
- act independently and on your own behalf;
- have no authority to enter into agreements, make commitments, give guarantees or incur liabilities on behalf of TradersGrowth;
- must not represent that you have authority to bind TradersGrowth; and
- are responsible for your own taxes, registrations, reporting and other obligations arising from commission or other payments you receive.
Neither party is required to work exclusively with the other unless separately agreed in writing.
16. Liability
The Partner Programme is provided on a commercially reasonable basis, but TradersGrowth does not guarantee any particular level of traffic, referrals, conversions, commission, revenue or business results.
We also do not guarantee uninterrupted availability of the Partner Programme, Affiliate Hub, tracking systems or individual provider offers. Where a technical or reporting issue occurs, we will use reasonable efforts to investigate and correct it.
To the fullest extent permitted by law, neither party will be liable to the other for:
- indirect, incidental or consequential loss;
- loss of anticipated profit, business opportunity, goodwill or reputation; or
- losses that could not reasonably have been anticipated when these Terms were entered into.
This does not exclude commission or other amounts that have already been validly earned and become payable under these Terms.
Liability cap
Except where liability cannot legally be limited, TradersGrowth’s total aggregate liability arising from the Partner Programme will not exceed the greater of: (a) the commission and other Partner Programme payments paid or payable to you during the 12 months immediately preceding the event giving rise to the claim; or (b) €500.
This cap applies to the Partner Programme. Where a separate Supplier Agreement or Product Schedule is in place, the liability provisions of that agreement apply to the services it covers.
Claims caused by Partner activity
If a third party brings a claim, regulatory complaint or other proceeding against TradersGrowth as a direct result of promotional activity carried out by you in material breach of these Terms or applicable law, you will be responsible for the reasonable and directly related losses and costs arising from that breach.
This does not apply to the extent that the claim resulted from:
- information, claims or marketing materials supplied or approved by TradersGrowth;
- instructions given by TradersGrowth;
- TradersGrowth’s own acts or omissions; or
- circumstances outside your reasonable control.
We will notify you within a reasonable period after becoming aware of such a claim and, where appropriate, give you a reasonable opportunity to participate in its handling or defence. You must not settle a claim in a way that creates an obligation, admission or liability for TradersGrowth without our written agreement.
Liability that cannot be excluded
Nothing in these Terms excludes or limits liability for:
- fraud or fraudulent misrepresentation;
- wilful misconduct;
- death or personal injury where liability cannot legally be excluded; or
- any other liability that applicable law does not permit us to exclude or limit.
17. Governing law and disputes
These Terms and any dispute or claim arising from or relating to the Partner Programme are governed by the laws of Malta.
If a dispute arises, both parties will first try in good faith to resolve it directly.
If the dispute cannot be resolved within 30 days after written notice of the dispute, the courts of Malta will have exclusive jurisdiction, except where applicable law requires otherwise.
Nothing in this section prevents either party from seeking urgent interim or protective relief where reasonably necessary.
